These terms are between Espy Technologies ("Vidym", "we") and the school or school group using the Vidym website and the Vidym school management software ("Service") — the or school group ("Customer") and its authorised users. By subscribing to or using the Service you agree to these terms.
Vidym provides cloud-based school management software including attendance, fees, examinations, transport, library, communication and reporting modules, together with a parent application, as described on the Features and Pricing pages. Features vary by plan.
The Customer is responsible for the accuracy of data it enters, for the actions of users under its accounts, for keeping login credentials confidential, and for obtaining any consents required from parents, guardians, students and staff whose data it enters.
Subscription fees are as published on the Pricing page or as otherwise agreed in writing, exclusive of GST, payable monthly or yearly in advance. Third-party charges — payment gateway transaction fees, SMS/WhatsApp gateway charges and dedicated hosting — are passed through at actual. We may revise fees with 60 days' notice, effective from the next billing period.
Monthly subscriptions may be cancelled with effect from the end of the current month; yearly subscriptions run to the end of the paid year. On termination the Customer may export its data for 60 days, after which it may be deleted. We may suspend the Service for non-payment after written notice.
The Customer owns its data. Vidym processes it only to provide the Service, in accordance with the Privacy Policy, and will not sell it or use it for advertising. Vidym maintains reasonable security measures and daily backups.
The Service may not be used to send unlawful, misleading or unsolicited communications, to store content unrelated to the Customer's school operations, or in any way that interferes with the Service or other customers.
We aim for continuous availability but do not guarantee uninterrupted operation; planned maintenance will be notified in advance where possible. A dedicated account manager is assigned to each Customer for the duration of the subscription to assist with onboarding, staff training and support.
Vidym and its software, design and documentation remain the property of Espy Technologies. The Customer receives a non-exclusive, non-transferable right to use the Service for its own school operations during the subscription.
To the extent permitted by law, Vidym's total liability arising from the Service in any twelve-month period is limited to the subscription fees paid for that period, and Vidym is not liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.
These terms are governed by the laws of India, with courts at [City] having exclusive jurisdiction.
